About Venturevest

  • Venturevest Technologies Inc. (Venturevest) is a Canadian financial technology company. We are not an exempt market dealer, investment dealer, or investment advisor.

  • Our platform helps Canadian residents discover curated private market funds and connect with registered exempt market dealers (EMDs).

  • Dealer services, including KYC/KYB, suitability assessments, and transaction execution, are provided solely by our registered EMD partners.​

Eligibility and where we operate

  • The platform is intended for Canadian residents, in provinces and territories where our EMD partners are licensed to operate.

  • You must meet the legal age of majority in your province or territory:

  • 18: Ontario, Quebec, Alberta, Manitoba, Saskatchewan, Prince Edward Island

  • 19: British Columbia, Nova Scotia, New Brunswick, Newfoundland and Labrador, Yukon, Northwest Territories, Nunavut

  • By using the platform, you confirm you meet these requirements and are using the platform for yourself or your organization with proper authority.

Accounts and security

You may create an account to access features. Keep your login secure and notify us immediately if you suspect unauthorized access.

  • We may suspend or terminate your account for breach of these Terms, unlawful activity, or risk to the platform or other users.

What Venturevest does and does not do

We provide technology, education, and fund discovery. We do not provide investment advice, recommendations, or an offer to buy or sell any security.

  • Any investment decisions are between you and the registered EMD(s). EMDs conduct all KYC/KYB, suitability, disclosures, and transaction execution.

  • Information, including fund materials and performance information, may be provided by EMDs or issuers. Past performance is not indicative of future results. Private investments are speculative, illiquid, and involve risk of loss.

No investment, legal, tax, or accounting advice

Content on our platform is for informational and educational purposes only.

  • You should seek independent professional advice before making financial, legal, tax, or accounting decisions.

Fees and compensation

Venturevest does not charge investors to use the app. Venturevest may receive commissions or other compensation from EMD partners in connection with referred transactions.

  • Any fees or charges applicable to a specific investment will be disclosed by the relevant EMD and/or issuer.

Third‑party materials and links

The platform may link to third‑party websites, documents, and content (including fund fact sheets and offering materials). We are not responsible for their content, accuracy, availability, or practices. Your use of third‑party services is at your own risk and subject to their terms and policies.

Acceptable use (You agree not to):

Use the platform for unlawful purposes or in violation of applicable securities laws.

  • Interfere with or disrupt the platform, attempt to gain unauthorized access, or test vulnerabilities.

  • Scrape, harvest, or index the platform without written permission.

  • Copy, modify, reverse engineer, decompile, or create derivative works of the platform or its software.

  • Upload malware, infringe intellectual property or privacy rights, or misrepresent your identity.

  • Circumvent access controls, rate limits, or security measures.

Intellectual property

Venturevest owns all rights, title, and interest in the platform, content, software, trademarks, and educational materials, except for content owned by third parties and used under license.

  • You receive a limited, revocable, non‑exclusive, non‑transferable license to use the platform for personal or internal business use in accordance with these Terms.

Service availability and changes

The platform is provided “as is” and “as available.” We may update, suspend, or discontinue features at any time. We do not guarantee uninterrupted or error‑free operation.

Disclaimers

  • To the fullest extent permitted by law, Venturevest disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

  • We do not guarantee the accuracy, completeness, timeliness, or reliability of any content, including third‑party fund information or performance data.

Limitation of liability

To the fullest extent permitted by law, Venturevest and its directors, officers, employees, and agents are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, data, or goodwill, arising from or related to your use of the platform.

  • Our total aggregate liability for any claims arising out of or related to the platform or these Terms will not exceed one hundred Canadian dollars (CAD $100).

Indemnity

You agree to indemnify and hold Venturevest and its affiliates harmless from claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of your use of the platform, your violation of these Terms, or your violation of any law or third‑party right.

Governing law and venue

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflicts of law principles.

  • You agree to the exclusive jurisdiction and venue of the courts located in Montreal, Quebec.

Changes to these Terms

  • We may update these Terms from time to time. The “Last updated” date shows the effective date. If we make material changes, we may provide notice. Your continued use of the platform means you accept the changes.

​

Other terms

  • If any provision is found unenforceable, the remaining provisions remain in effect.

  • Failure to enforce a provision is not a waiver.

  • You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or asset transfer.

  • These Terms work together with our Privacy Policy and Cookie Policy.
